Independent Contractor Agreement & Confidentiality

1. Parties
This Independent Contractor Agreement ("Agreement") is entered into between HaulHitch ("Platform," "we," "us") and the individual accepting these terms ("Driver," "you," "Contractor"). By accepting this Agreement during driver onboarding, you confirm that you have read, understood, and agreed to be bound by its terms as a condition of providing driving and towing services through the HaulHitch marketplace.
2. Independent Contractor Status
You are engaged as an independent contractor, not an employee, agent, partner, or joint venturer of HaulHitch. You retain sole control over the means and methods of performing services, including the vehicles and equipment you use, your schedule, and the jobs you choose to accept or decline. You are responsible for your own taxes, insurance, licenses, and compliance with all applicable federal, state, and local laws. Nothing in this Agreement creates an employment relationship, and you are not entitled to employee benefits, workers' compensation, or unemployment coverage through HaulHitch.
3. Scope of Services
You may use the Platform to find and accept moving jobs posted by movers, including towing trailers, transporting household belongings along routes you choose to serve, and related pickup and drop-off services. Each job you accept forms a separate service agreement between you and the mover, with HaulHitch acting solely as a marketplace facilitator. You agree to perform accepted jobs with reasonable care and skill, comply with the mover's reasonable instructions, and meet the agreed pickup and delivery times.
4. Compensation & Platform Fees
For each completed job, you will receive the driver payout displayed at the time you accept the job, which equals the job price less the Platform's driver-side commission. The mover separately pays a service fee. HaulHitch collects payment from the mover and remits your payout to you through the Platform's payment system. You are responsible for any taxes owed on your earnings and for any costs you incur, including fuel, tolls, equipment, and maintenance. Payouts are subject to the Platform's payment terms and any applicable hold periods.
5. Confidentiality
In the course of providing services, you may access information about movers, jobs, routes, pricing, and the Platform's operations ("Confidential Information"). You agree to hold all Confidential Information in strict confidence, use it solely to perform services through the Platform, and not disclose it to any third party without authorization. Confidential Information does not include information that is or becomes publicly available through no fault of yours, was known to you before disclosure, or is independently developed without use of Confidential Information. This confidentiality obligation survives termination of this Agreement.
6. Non-Compete & Non-Solicitation
While engaged on the Platform and for twelve (12) months after your last completed job, you agree not to solicit, directly or indirectly, any mover you were introduced to through HaulHitch to perform moving or towing services outside the Platform, and not to bypass the Platform's payment or matching systems to avoid fees. You also agree not to use mover contact information obtained through the Platform to circumvent it. These restrictions are intended to protect the Platform's legitimate business interests and are limited to the relationships and transactions originated through HaulHitch. If any provision is found unenforceable in your jurisdiction, it shall be modified only to the extent necessary to make it enforceable, and the remaining provisions shall stay in effect.
7. Equipment, Vehicles & Liability
You are solely responsible for the roadworthiness, insurance, registration, and lawful operation of any vehicle and trailer you use. You represent that you hold a valid driver's license appropriate for the equipment you operate and that your tow hitch and towing equipment are properly installed and rated for the loads you accept. You assume all risk for damage to or loss of your own equipment and for any property, cargo, or personal injury claims arising from your performance of services. You agree to carry and maintain, at your own expense, automobile liability and cargo insurance sufficient to cover the services you perform.
8. Term & Termination
This Agreement begins when you accept it during onboarding and continues for as long as you use the Platform as a driver. Either party may terminate this Agreement at any time by ceasing to use the Platform, provided that you complete any job you have already accepted unless the mover agrees otherwise. HaulHitch may suspend or terminate your access to the Platform immediately for violations of this Agreement, the Terms of Service, or applicable law. Sections 5 (Confidentiality), 6 (Non-Compete & Non-Solicitation), and 9 (Dispute Resolution) survive termination.
9. Dispute Resolution & Arbitration
To the fullest extent permitted by law, any dispute, claim, or controversy arising out of or relating to this Agreement or your use of the Platform shall be resolved by final and binding arbitration on an individual basis, rather than as a class action or representative action. The arbitration shall be conducted under the rules of a recognized arbitration provider agreed by the parties, in the jurisdiction where you primarily performed services. Judgment on the award may be entered in any court of competent jurisdiction. You waive any right to participate in a class or representative proceeding.
10. Entire Agreement & Electronic Acceptance
This Agreement, together with the Terms of Service and Privacy Policy, sets forth the entire understanding between you and HaulHitch regarding your engagement as a driver and supersedes any prior agreements. HaulHitch may update this Agreement from time to time; continued use of the Platform after changes are posted constitutes acceptance of the updated terms. Your electronic acceptance during onboarding has the same legal effect as a handwritten signature.
